CONFIDENTIALITY AGREEMENT

BRANSON REALTY, INCORPORATED

Branson Realty, Incorporated, (Agent) has been exclusively retained to represent certain property owners (Seller) that have commercial properties (Property) for sale in Branson, Missouri. Recipient hereby acknowledges and agrees that certain confidential information which has been or may be disclosed in the future is intended solely for their own limited use in considering whether to pursue negotiations to acquire the property.

Neither Seller nor Agent, nor any of their officers, employees or agents make any representation or warranty, expressed or implied, as to the accuracy or completeness of this confidential information and no legal liability is assumed or shall be implied with respect thereto. Information provided has been or will be gathered from sources that are deemed to be reliable but neither Seller nor Agent, warrants or represents that the information is true or correct. Recipient is advised to verify information independently. Seller and/or Agent, reserves the right to change the price, edit or change any information provided or to withdraw the property from the market at any time without notice.

Recipient agrees that all the information provided is confidential; that Recipient will hold and treat it in the strictest of confidence; that Recipient will not directly or indirectly disclose or permit anyone else to disclose this information to any other firm or entity without the prior written authorization of Seller or Agent; and that Recipient will not use or permit to be used this information in any fashion or manner detrimental to the interest of the Seller or Agent. Passwords distributed for access to portions of this website shall be deemed to be the property of Branson Realty, Incorporated, and may not be distributed to Third Parties.

While Seller and/or Agent may discuss the sale and purchase of the Property with Recipient, either Seller or Agent, in their sole and absolute discretion, may terminate discussions at any time and for any reason. Recipient acknowledges Seller has no obligation to discuss or agree to the sale of the Property. Discussions may be lengthy and complex, and not withstanding that we may reach one or more oral understandings or agreements on one or more issues, neither of us shall be bound by any oral agreement(s) of any kind and no rights, claims, obligations or liabilities of any kind, expressed or implied, shall arise or exist in favor of or be binding upon either Seller or Agent, except to the extent expressly set out in a written agreement signed by all parties.

Recipient is advised that Agent, unless otherwise stated in writing, is working on behalf of Seller either as the Seller’s Agent or as a Transaction Broker in connection with the sale of this Property. Branson Realty, Incorporated, does not offer compensation to a subagent and therefore, should the Recipient elect to be represented by a real estate broker, then that broker must be acting as a buyer’s agent, transaction agent, or through some other non-agency agreement. Recipient hereby agrees that any commission, fees or compensation earned by or owed to any such real estate broker involving this sale shall be paid by Recipient or their principal. Further, Recipient and cooperating broker, if any, agree to indemnify and hold harmless Seller, Agent, their respective agents, affiliates, successors and assigns, employees, officers and directors against and from any loss, liability or expenses, including attorney’s fees, arising out of any claim or claims by a cooperating broker, finder or similar agency or non-agency, including non-licensee, for commissions, fees or other compensation involving this sale.

Recipient hereby agrees to return all confidential information to Seller or Agent should Recipient not wish to pursuer negotiations leading to a sale or if in the future Recipient discontinues such negotiations for any reason.
